1. Agreement to Terms

By accessing or using https://godspeed-brand.com (the “Site”), creating an account, or purchasing products from Godspeed Brand (“Godspeed,” “we,” “us,” or “our”), you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, do not use the Site.

These Terms include and incorporate by reference our Privacy Policy, Shipping Information, and Refund & Returns Policy.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase from the Site. By placing an order, you represent that you have the legal capacity and authority to enter into this agreement.

3. Account Registration & Security

When you create an account, you must provide accurate and complete information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Product Information & Availability

We strive to display product details, colors, sizing, and availability accurately. Actual colors may vary by device. All products, descriptions, and prices are subject to change at any time without notice.

We may limit quantities, reject orders, or discontinue items at our sole discretion, including limited releases and special editions.

5. Pricing, Taxes & Promotions

• Prices are listed in U.S. Dollars unless otherwise noted and exclude shipping and applicable taxes.
• Taxes are calculated at checkout based on your shipping destination and applicable laws.
• Promotions and discount codes may be subject to additional terms, limited quantities, and expiration dates. Unless stated, promotions cannot be combined.
• We reserve the right to correct pricing errors and cancel or adjust orders affected by such errors.

6. Orders, Acceptance & Cancellations

Your order is an offer to purchase. Receipt of an order confirmation does not signify acceptance. We accept your order only when we ship the product(s) and send a shipping confirmation. We may cancel any order for reasons including product unavailability, suspected fraud, or payment issues.

Once an order is placed, changes or cancellations may not be possible. Please review your cart carefully before checkout.

7. Shipping, Delivery & Risk of Loss

Shipping options, costs, and estimated timelines are detailed in our Shipping Information. Delivery dates are estimates only and are not guaranteed. Title and risk of loss pass to you upon transfer of the products to the carrier.

We are not responsible for delays caused by carriers, customs, weather, or other factors beyond our control.

8. Returns, Exchanges & Refunds

Our return windows, conditions, and processes are described in the Refund & Returns Policy. Items must be returned in new, unworn condition with original tags and packaging unless otherwise stated. Final sale items are not returnable.

9. Payments

We accept major payment methods including Visa, Mastercard, and PayPal. By submitting payment details, you represent that you are authorized to use the payment method and authorize us (and our payment processor) to charge the full order total, including shipping, taxes, and any applicable fees.

Orders may be subject to verification and anti-fraud screening. We may cancel or refuse any order if payment cannot be processed or is suspected to be fraudulent.

10. Pre‑Orders & Limited Releases

Pre‑order items or limited releases may have special terms, including later ship dates and quantity limits. Estimated ship dates are subject to change. Payment may be captured at the time of order. Cancellations on pre‑orders may be restricted.

11. Authenticity

We source inventory from the brand and authorized channels. Each item is inspected against our authenticated references, including tags, labels, graphics, hardware, and construction details.

Note: We are an independent, specialized store and not the brand’s official website.

12. Intellectual Property

The Site, including all text, graphics, logos, images, videos, and software, is owned or licensed by Godspeed Brand and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written consent.

13. User Content & Reviews

If you submit reviews, photos, comments, or other content (“User Content”), you grant Godspeed a non‑exclusive, worldwide, royalty‑free, perpetual, irrevocable, sublicensable and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and perform such User Content in all media.

You represent that your User Content is accurate, lawful, and does not infringe third‑party rights. We may remove any content at our discretion.

14. Acceptable Use & Prohibited Conduct

• Do not use the Site for any unlawful purpose or to violate any laws.
• Do not attempt to gain unauthorized access, interfere with security, or disrupt the Site’s operations.
• Do not scrape, crawl, or use automated means without our written permission.
• Do not resell or commercially exploit the Site or its content without authorization.
• We may limit or cancel orders suspected of reselling or unauthorized distribution.

15. Third‑Party Links & Services

The Site may contain links to third‑party websites or services. We are not responsible for third‑party content, policies, or practices. Access such sites at your own risk.

16. Disclaimers

To the fullest extent permitted by law, the Site and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant uninterrupted or error‑free operation, or that defects will be corrected.

17. Limitation of Liability

To the fullest extent permitted by law, in no event shall Godspeed Brand or its officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Site or purchase of products, even if we have been advised of the possibility of such damages.

Our total liability for any claim shall not exceed the amount you paid for the product(s) giving rise to the claim during the twelve (12) months preceding the event.

18. Indemnification

You agree to defend, indemnify, and hold harmless Godspeed Brand and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your User Content, your violation of these Terms, or your violation of any rights of another.

We will not be liable for any delay or failure to perform due to events or circumstances beyond our reasonable control, including acts of God, war, terrorism, labor conditions, governmental actions, epidemics, supply chain disruptions, and failures of third‑party networks or services.

20. Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Subject to the arbitration provision below, you agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

21. Dispute Resolution & Arbitration

Except where prohibited by law, any dispute arising out of or relating to these Terms or your use of the Site shall be resolved through binding arbitration on an individual basis, administered by a recognized arbitration provider, rather than in court. You and Godspeed Brand waive any right to a jury trial and agree that all claims shall be brought only in your or our individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The Federal Arbitration Act and federal arbitration law apply to this agreement.

You may opt out of this arbitration agreement by sending written notice to the address in Section 25 within 30 days of your first use of the Site or first purchase.

22. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, sections that by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

23. Privacy

Your use of the Site is subject to our Privacy Policy, which explains how we collect, use, and share your information.

24. Changes to the Terms

We may update these Terms from time to time. Changes are effective when posted to the Site with an updated effective date. Your continued use of the Site following the posting of changes constitutes acceptance of the revised Terms.
